Terms of Service

The rules for using MemoraOne accounts, project memory, Studio, API, MCP integrations, subscriptions, and related services.

Agreement to these terms

These Terms of Service govern your access to and use of MemoraOne, a SaaS platform provided by MemoraOne LLC for persistent project memory, Studio, API, MCP integrations, and related services.

By creating an account, accessing MemoraOne, or using the service on behalf of an organization, you agree to these terms. If you use MemoraOne for an organization, you represent that you have authority to bind that organization.

Accounts and access

You are responsible for the accuracy of account information, the security of your credentials, and activity that occurs under your account, API keys, or connected integrations. You must promptly notify us if you believe your account or credentials have been compromised.

You may invite users or connect tools only as permitted by your plan and settings. You are responsible for your users' compliance with these terms.

Acceptable use

You may not use MemoraOne in a way that harms the service, other users, or the public. Prohibited conduct includes:

  • Violating laws, regulations, third-party rights, or contractual obligations.
  • Uploading or transmitting malware, exploit code, or content intended to compromise systems.
  • Attempting to gain unauthorized access to MemoraOne, user accounts, projects, infrastructure, models, or connected systems.
  • Interfering with service reliability, rate limits, security controls, monitoring, or abuse-prevention systems.
  • Using MemoraOne to generate, store, or distribute unlawful, harmful, abusive, deceptive, or infringing content.
  • Reverse engineering, scraping, benchmarking for competitive purposes, or copying non-public aspects of the service except where law prohibits this restriction.
  • Using the service to process highly sensitive regulated data unless MemoraOne has expressly agreed in writing to support that use.

Customer content

You retain ownership of the content you submit to MemoraOne, including project memory, uploaded files, prompts, instructions, metadata, and other project materials you provide or create through the service.

You grant MemoraOne LLC a limited license to host, store, reproduce, process, transmit, display, and use customer content as needed to provide, secure, support, and improve MemoraOne for you and your authorized users. This includes operating Studio, API, MCP integrations, retrieval, project memory, backups, logging, diagnostics, and support.

You are responsible for having the rights and permissions needed to submit customer content to MemoraOne and to authorize its processing through connected tools or integrations.

Private project content and training

Private project content is not used to train a global model by default. MemoraOne may process private project content to provide the service to you, including memory storage, retrieval, connected workflows, quality, reliability, security, and support.

If optional broader training or improvement programs become available, the applicable controls or terms will describe how participation works.

Subscriptions, trials, and billing

Some MemoraOne features may require a paid subscription. Subscription details, limits, prices, billing intervals, and included features are presented during checkout, in the product, or in the applicable order flow.

If a trial is offered, access may convert to a paid subscription at the end of the trial unless you cancel before the trial ends or the offer states otherwise. Trials may be modified or discontinued at any time.

Subscriptions automatically renew until canceled. By starting a paid subscription, you authorize MemoraOne and its payment processor, Stripe, to charge the applicable fees, taxes, and recurring amounts using your selected payment method.

You can cancel as described in the product or by contacting admin@memoraone.com. Cancellation stops future renewal charges, but your access may continue until the end of the then-current billing period unless otherwise stated in your plan or required by law.

Service availability and changes

We work to keep MemoraOne reliable, but the service may be unavailable or degraded because of maintenance, updates, outages, security issues, third-party providers, network conditions, or events outside our control.

We may add, change, suspend, or discontinue features, integrations, plans, limits, or parts of the service. We will try to provide reasonable notice when a material change significantly affects paid use of the service.

MemoraOne intellectual property

MemoraOne LLC and its licensors own the service, software, design, documentation, trademarks, logos, and other intellectual property associated with MemoraOne, except for customer content and third-party materials.

Subject to these terms, MemoraOne grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business or personal project workflows during your subscription or authorized access period.

Third-party services and integrations

MemoraOne may interoperate with third-party tools, identity providers, payment processors, IDEs, MCP clients, APIs, hosting platforms, and other services. Third-party services are governed by their own terms and privacy notices, and MemoraOne is not responsible for third-party services outside our control.

You are responsible for configuring integrations, credentials, API keys, permissions, and connected environments appropriately.

Disclaimers

MemoraOne is provided on an as-is and as-available basis. To the maximum extent permitted by law, MemoraOne LLC disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the service will be uninterrupted, error-free, perfectly secure, or that project memory, generated outputs, retrieval, or integrations will always be complete, accurate, or suitable for your intended use. You are responsible for reviewing outputs and maintaining appropriate backups and controls.

Limitation of liability

To the maximum extent permitted by law, MemoraOne LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, data, or business opportunities.

To the maximum extent permitted by law, MemoraOne LLC's total liability for claims arising out of or relating to the service or these terms will not exceed the amounts you paid to MemoraOne for the service in the three months before the event giving rise to the claim.

Termination

You may stop using MemoraOne or cancel your subscription at any time. We may suspend or terminate access if you violate these terms, create risk for the service or other users, fail to pay amounts due, or if continued access would expose MemoraOne or others to legal, security, or operational risk.

After termination, your right to access the service ends. Certain provisions, including customer content responsibilities, payment obligations, intellectual property, disclaimers, limitation of liability, and terms that by their nature should survive, will survive termination.

Changes to these terms

We may update these terms as MemoraOne evolves or as legal, security, or business requirements change. If changes are material, we will provide notice through the service, by email, or by another reasonable method. Continued use after changes become effective means you accept the updated terms.
